1. INTRODUCTION

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mashini Investments Ltd., the publisher of Mashinii ("Company," "we," "us," or "our"), a company registered in England and Wales. By accessing the website, subscribing to The Evidence Brief, requesting a paid investigation, or using an account, you agree to these Terms.

2. NATURE OF SERVICES (NO ADVICE)

  • 2.1 Research Publication: Mashinii publishes independent research, commentary, company profiles, source links, and analytical scores for informational purposes. We do not provide financial, legal, tax, or investment advice.
  • 2.2 No Fiduciary Relationship: Your use of the platform does not create an advisor-client or fiduciary relationship.
  • 2.3 AI-Assisted Research Disclosure: Scores, ratings, and classifications are subject to the AI-Assisted Research Disclosure, which is incorporated by reference into these Terms.
  • 2.4 Evidence and Accuracy: Research uses public evidence, third-party information, and AI-assisted systems. Sources can be incomplete, delayed, corrected, or disputed, and analytical outputs can contain errors. Scores are not real-time. Each company page should be read with its cited evidence and investigation date.

3. ACCOUNTS, EMAILS & PAID REQUESTS

  • 3.1 Credentials: You are responsible for maintaining the confidentiality of your login credentials. You may not share your account access with third parties.
  • 3.2 The Evidence Brief: Newsletter subscription is optional. You may unsubscribe using the link in any edition.
  • 3.3 Paid Investigations: A paid request funds a fresh review of the named company; it does not purchase a particular score or conclusion. A review may confirm the existing assessment when no material new evidence is found. Any checkout-specific terms shown before payment also apply.
  • 3.4 Reader Support: Voluntary support helps fund the publication and does not provide editorial influence or guarantee member benefits unless those benefits are expressly described at checkout.

4. INTELLECTUAL PROPERTY & USE RESTRICTIONS

  • 4.1 License: We grant you a limited, non-exclusive, non-transferable license to use the data for your internal business or personal research.
  • 4.2 Prohibited Acts: You agree NOT to: (a) Use any automated system ("robots," "spiders") to access the website; (b) Resell, redistribute, or sub-license the data; (c) Reverse engineer the scoring algorithms; (d) Use the data to build a competing product.
  • 4.3 Termination: We reserve the right to terminate your account immediately if you violate these restrictions.

5. USER DATA

  • 5.1 Information You Provide: You retain ownership of correction materials, inquiry text, and other content you submit.
  • 5.2 License to Process: You grant the Company permission to process that information only as reasonably necessary to respond, provide the requested service, protect the publication, or comply with law.

6. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your misuse of the Data.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill. Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. EDITORIAL INDEPENDENCE & CONTENT DISCLAIMER

  • 8.1 Analytical Opinion: The Company produces and publishes research, classifications, scores, and commentary using cited public evidence, data-driven methodologies, and AI-assisted systems (collectively, “Analytical Content”). Scores, rankings, classifications, and conclusions are analytical opinions, not determinations by a court or regulator.
  • 8.2 No Implied Misconduct: The inclusion, exclusion, ranking, scoring, or classification of any entity, asset, issuer, or financial instrument does not imply wrongdoing, misrepresentation, misconduct, or deficiency by such entity. We do not provide guarantees regarding the reputation, quality, financial condition, or future prospects of any entity referenced.
  • 8.3 Defamation Waiver: To the fullest extent permitted by law, you hereby waive any claim against the Company for defamation, trade libel, injurious falsehood, or reputational harm arising from the publication, display, or use of Analytical Content.
  • 8.4 No Commercial Endorsement: Nothing in the Services constitutes commercial speech or promotional endorsement of any issuer. All Analytical Content is provided as non-advisory, editorial analysis.

9. CORRECTIONS & EDITORIAL CONTROL

  • 9.1 Corrections: We accept specific, evidenced correction requests and may correct, contextualise, update, or remove material where warranted. Submitting a request does not guarantee a change in score or conclusion.
  • 9.2 Editorial Control: The Company retains editorial control over content, presentation, methodology, and coverage. Companies and other subjects may submit relevant evidence or a response, but cannot purchase removal, favourable treatment, or a predetermined conclusion.

10. FORCE MAJEURE

The Company shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to acts of God, internet outages, denial of service attacks, regulatory changes, or third-party infrastructure failures.

11. GOVERNING LAW

These Terms shall be governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.
